浅析上市公司股权融资成本与风险控制

【摘  要】随着总体经济理论的持续应用，我国已经初步完成了本土市场与国际市场之间的经济并轨，推进了多元全球化背景下的社会主义市场经济一体化发展。尤其是在“金融体制改革+产业调整”方案的实施下，全面扩大了要素市场在资源配置方面的功能，有效化解了我国企业在发展过程中的融资问题。论文以上市公司股权融资成本与风险控制作为研究对象，介绍了我国上市公司股权融资成本结构及其存在的主要问題，从治理机制、资本市场2个角度提出了几点风险控制建议。

【Abstract】With the continuous application of the macroeconomic theory， China has initially completed the economic integration between the local market and the international market， and promoted the integrated development of socialist market economy under the background of diversified globalization. Especially under the implementation of the "financial system reform + industrial adjustment" program， the function of factor market in resource allocation has been comprehensively expanded， and the financing problems of China's enterprises in the development process have been effectively solved. Taking the equity financing cost and risk control in listed companies as the research object， this paper introduces the cost structure of equity financing of listed companies in China and its main problems， and puts forward some suggestions on risk control from the perspectives of governance mechanism and capital market.

1 引言

从当前上市公司融资结构看，普遍存在股权融资比例过大的现象。由于导致该现象的原因十分复杂，并且，在该现象下会对企业经营效率产生一定的影响，是企业运营中潜在的风险因素之一。简单来讲，股权融资比例较大时，保持股东利益、投资者利益、公司利益之间的均衡相对困难，一旦发生风险，投资者的利益首先会受到损害。在当前公司治理与内部控制持续应用的条件下，上市公司有必要认真对待股权融资导致的经营风险，采取一些有效的风险控制对策。

2 上市公司股权融资成本结构

在我国本土市场，上市公司股权融资成本，通常被划分为2个部分，一部分为隐性成本;另一部分为显性成本。所谓股权融资成本，在实质上指股权融资的资本成本（显性成本）。……
