基于区块链技术的风险投资投后管理研究

摘  要：风险投资作为当前投资市场中较为热门的一种投资类型一直被置于聚光灯下。在风险投资募集资金、筛选项目、项目评估、协议谈判、项目投资、投后管理等六大运作过程中，大部分风险投资企业更加关注募集资金和筛选项目，尤其希望通过颇具创新概念的募集资金方式和独到的对于项目选择理念，来获得整个资本市场的青睐。本文探讨了风险投资后管理的概念，分析了投后管理的难点，研究了基于去中心化的投后管理交易支付模式和基于分布记账的动态审计监督模式。相信对从事相关工作的同行能有所裨益。

Research on Post Investment Management of Venture Capital Based on Blockchain Technology

Abstract： Venture capital， as a popular investment type in the current investment market， has been put into the spotlight. In the six operation processes of venture capital raising， screening project， project evaluation， agreement negotiation， project investment and post investment management， most venture capital enterprises pay more attention to the raised funds and screening projects， especially hope to gain the favor of the whole capital market through the innovative concept of raising funds and unique project selection concept. This paper discusses the concept of post investment management， analyzes the difficulties of post investment management， studies the post investment management transaction payment mode based on decentralization and dynamic audit supervision mode based on Distributed Accounting. I believe it will be helpful to the colleagues engaged in relevant work.

1  風险投资投后管理的概念

投后管理是风险投资过程中的重要环节之一，是风险投资企业为减少投资风险、确保实现预期投资收益率而采取的重要手段，也是风险投资区别于银行贷款、企业项目融资的标志之一[1]。一般来说，可以将投后管理分为狭义和广义。所谓狭义的风险投资后管理，是指从被投企业的角度出发，指风险投资企业为被投企业提供的一切增值服务，如参与企业管理，帮助企业解决问题，为企业提供支持活动，从而促进企业快速成长的所有行为。

所谓广义的风险投资投后管理是从风险投资企业的角度出发，从投资协议签订后开始到风险资本退出为止的期间内对风险企业的管理和监控服务。……
