浅析国有企业法人治理结构的完善

【摘  要】在现代企业中，完善法人治理结构对企业发展有着直接影响，完善的法人治理结构，可以促进国有企业优化改革，实现企业健康发展。论文结合完善国有企业法人治理结构的意义，重点分析国有企业法人治理结构存在的问题，根据分析结果，提出国有企业法人治理结构的完善对策。

【Abstract】In modern enterprises， improving the corporate governance structure has a direct impact on the development of enterprises. An improved corporate governance structure can promote the optimal reform of state-owned enterprises and realize the healthy development of enterprises. Combined with the significance of improving the corporate governance structure of state-owned enterprises， this paper focuses on the analysis of the problems existing in the corporate governance structure of state-owned enterprises， and according to the analysis results， puts forward some countermeasures for improving the corporate governance structure of state-owned enterprises.

1 引言

为促进我国国有企业深入改革与发展，完善法人治理结构是非常重要的。从目前情况来说，我国大部分国有企业已经构建了现代企业工作体制，但是在实际当中，现代企业制度完善性有待加强，部分企业没有形成完整的法人治理结构，职责分配不清晰、缺少制衡性。部分企业董事会设定过于形式化，无法发挥应有价值。所以，完善企业法人治理结构，对促进国有企业建设现代企业制度、优化企业发展有着重要意义。

2 完善国有企业法人治理结构的意义

从实质角度来说，企业法人治理结构也就是通过构建一套完善的工作体系优化并协调股东、董事会、监事会等治理主体之间的关系，从而保证利益相关者的合法权益，实现企业规范化管理，促进企业更好发展。完善的国有企业法人治理结构，不但可以满足时代发展要求，也为企业制度发展、优化决策、实现规范化管理提供支持。在宏观层面，当前我国国有企业正处于深化改革重要阶段，为完成综合发展目标，实现企业健康发展，成立高水平的企业治理团队已经成为必然需求，更是建立现代企业制度的关键。……
