上市公司资本运营风险防范与控制

【摘  要】当前，社会形势变化莫测，随着市场经济的快速发展，上市公司的数量不断增加，企业不仅面临来自各方面的挑战，还需顶住来自政府的压力。在此背景下，一旦上市公司遭遇风险，对于公司的发展势必带来巨大的影响。所以加强资本运营风险的防范与控制至关重要。论文就上市公司风险管理的重要性进行分析，并探讨可能造成这些风险的原因，最后提出相应的对策和建议。

【Abstract】At present， the social situation is unpredictable， and with the rapid development of market economy， the number of listed companies is constantly increasing， and enterprises not only face challenges from various aspects， but also need to withstand the pressure from the government. In this context， once the listed company encounters risks， it is bound to bring great impact on the development of the company. Therefore， it is crucial to strengthen the prevention and control of capital operation risks. The paper analyzes the importance of risk management for listed companies， and discusses the reasons that may cause these risks， and finally proposes corresponding countermeasures and suggestions.

1 引言

改革开放40年以来，国有企业发展迅猛，现在已经成为推动经济发展的一股中坚力量。而且随着资本市场的日益完善，国有企业纷纷开始通过各种方式进行上市，以获取更多的发展机会，这也使我国的资本市场充满了活力。上市对企业来说虽然有很多好处，但是，其中的风险也是无法避免的，上市公司信息披露是否存在问题、上市公司的内部人才管理与调拨是否合理，这些都是一家上市公司需要解决的问题。

2 上市公司风险管理的重要性

2.1 企业自身建设和持续发展的内在要求

一家企业的建立与发展是离不开自身良好的建设的，而一家企业在建设的过程中除了要进行积极的内部管理之外，各种风险的防范与控制都是需要注意的，以上因素共同决定了一家企业能否一直发展下去。一家企业想要持续发展，一些长期风险需引起足够的重视，例如，财务管理不到位、企业高层管理人员风险意识不足、企业投资不合理，等等。……
